Private Equity

We advise private investment funds, entrepreneurs, corporate venture capital funds, and family offices in planning, structuring, documenting, and implementing frameworks and vehicles to attract and/or place resources for investment opportunities in all types of sectors and stages, from seed capital to growth and consolidation stages, using debt, equity, and hybrid structures. Our experience includes projects both in Mexico and abroad, including the use of pass-through vehicles in Canada and other jurisdictions, as well as the incorporation of companies, trusts, and other mechanisms to facilitate the roles typically associated with these types of projects, such as investment vehicles, general partners, administration services companies, among others.

We also support established funds in their investment activities, including due diligence processes, negotiation and documentation of operations, establishment of intermediate vehicles, among other matters. Likewise, we work with entrepreneurs in the preparation of their companies to receive financing from investment funds and institutional investors and in the negotiation of related transactions.

Corporate

Estate Planning

In the area of estate planning, VGF advises people who need to structure their assets with a long-term vision, to provide them and their families with security against possible eventualities, such as a prolonged disability or death.

Among the activities that our lawyers carry out in estate planning are assets due diligence, the analysis of alternatives to implement estate planning according to the needs and assets of each client, and the implementation of estate planning based on said analysis, preparing all the necessary documents, such as estate trusts or stock control trusts, company incorporation, bylaws reforms, shareholders agreements, donation agreements, property transfer deeds, wills, among others.
